NUMISKING TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Numisking website, applications, artificial intelligence grading tools, collection-management tools, marketplace features, and related services (collectively, the "Services").

The Services are operated by Numisking, LLC ("Numisking," "we," "us," or "our").

By creating an account, uploading an image, purchasing a subscription, using an AI grading feature, listing or purchasing an item through a marketplace feature, or otherwise using the Services, you agree to these Terms.

1. Numisking Services

Numisking provides software and technology designed for coin collectors and other users, including tools that may allow users to:

  • create and manage digital coin collections;
  • upload photographs and other information relating to coins;
  • receive AI-generated estimates concerning coin grade, condition, characteristics, identification, attribution, or other information;
  • estimate or display market-related information;
  • share collection information with other users; and
  • if and when available, list, offer, purchase, or sell coins and other numismatic items through the Numisking marketplace.

Certain features may be added, removed, modified, or discontinued at any time.

2. AI GRADING IS AN ESTIMATE ONLY

NUMISKING'S AI GRADING SERVICE PROVIDES AN ESTIMATE AND OPINION BASED ON THE INFORMATION AND IMAGES PROVIDED TO THE SERVICE. IT IS NOT A GUARANTEE OF A COIN'S ACTUAL GRADE, AUTHENTICITY, CONDITION, VALUE, ATTRIBUTION, OR MARKETABILITY.

Coin grading is inherently subjective. Different individuals, dealers, auction houses, grading companies, and grading systems may reach different conclusions concerning the same coin.

Numisking's artificial intelligence systems may also make errors.

An AI-generated result may be affected by factors including:

  • image quality;
  • lighting;
  • camera equipment;
  • image resolution;
  • focus;
  • image compression;
  • shadows or reflections;
  • color reproduction;
  • angle or orientation;
  • obstructions;
  • holders, flips, capsules, or slabs;
  • alterations or defects that cannot be detected from photographs;
  • environmental toning or coloration;
  • cleaning, polishing, tooling, repair, or other surface alterations;
  • counterfeit coins or altered coins; and
  • limitations or errors in Numisking's artificial intelligence models, software, data, or algorithms.

Users should not assume that a Numisking estimate will be identical to the grade assigned by a professional coin grader, dealer, auction house, certification company, or third-party grading service.

3. NOT A PROFESSIONAL CERTIFICATION OR GUARANTEE

Unless Numisking expressly states otherwise for a particular service, a grade, opinion, estimate, label, score, report, or other result generated through Numisking is not a professional certification or guarantee.

Numisking does not represent or warrant that a coin will receive the same grade from PCGS, NGC, CAC, ANACS, ICG, or any other third-party grading or certification organization.

Numisking is not affiliated with or endorsed by any third-party grading company merely because that company's grading terminology, population information, or grading scale may be referenced through the Services.

4. AUTHENTICITY AND COUNTERFEIT COINS

Unless expressly identified as a separate authentication service, Numisking's analysis should not be relied upon as confirmation that a coin is genuine.

Some counterfeit, altered, repaired, cleaned, damaged, or otherwise problematic coins may not be identifiable from photographs alone.

A Numisking result stating or suggesting that a coin appears genuine does not constitute a guarantee of authenticity.

For high-value transactions or whenever authenticity is important, users should consider obtaining an in-person opinion or certification from an appropriately qualified numismatic professional or third-party authentication service.

5. NO GUARANTEE OF VALUE

Any price, value, market estimate, comparable sale, price guide information, or other financial information displayed through Numisking is provided for informational purposes only.

Coin values may change substantially depending upon factors including:

  • actual grade;
  • authenticity;
  • eye appeal;
  • rarity;
  • provenance;
  • variety;
  • certification;
  • market demand;
  • auction venue;
  • buyer and seller behavior; and
  • general economic conditions.

Numisking does not guarantee that a coin can be purchased or sold for any particular amount.

6. USER RESPONSIBILITY

You are responsible for evaluating the information provided by Numisking before making decisions concerning a coin.

You agree that you will not rely solely upon a Numisking AI grade, valuation, attribution, authentication indication, or other automated result when making a material purchasing, selling, investment, insurance, lending, or other financial decision.

You remain responsible for determining whether additional inspection, authentication, professional grading, appraisal, or expert advice is appropriate.

7. IMAGE-BASED ANALYSIS

Numisking generally analyzes the images and information supplied by the user.

Because Numisking may not physically inspect the coin, characteristics that are visible during an in-person examination may not be visible to Numisking.

An image-based analysis should therefore not be considered equivalent to an examination of the physical coin.

Numisking is not responsible for inaccuracies resulting from incomplete, misleading, inaccurate, manipulated, filtered, enhanced, or otherwise unsuitable images or information submitted by a user.

8. AI AND AUTOMATED SYSTEMS

Certain Numisking features use artificial intelligence, machine learning, computer vision, automated algorithms, and other developing technologies.

Automated systems are probabilistic and may generate incorrect, incomplete, inconsistent, or unexpected results.

You acknowledge that:

  • AI-generated information may contain errors;
  • identical or similar submissions may occasionally receive different results;
  • Numisking may update or replace its models at any time;
  • a coin may receive a different result after a model update; and
  • historical results are not guaranteed to remain consistent with future Numisking results.

Numisking may modify its grading methodologies, models, training data, algorithms, grading scales, or other technologies without notice.

9. USER CONTENT AND COIN IMAGES

You retain ownership of photographs, descriptions, collection information, and other content that you submit to Numisking to the extent you otherwise own that content.

By uploading or submitting content, you grant Numisking a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, resize, analyze, and otherwise use that content as reasonably necessary to operate, maintain, improve, secure, and provide the Services.

You also grant Numisking permission to use submitted coin images and related non-personally-identifying information to improve, train, evaluate, and test Numisking's artificial intelligence and machine-learning systems.

Numisking's use of personal information is also governed by its Privacy Policy.

10. ACCOUNTS AND PROHIBITED USES

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You agree to provide accurate information and to promptly update information that becomes inaccurate.

You may not:

  • impersonate another person;
  • access another user's account without authorization;
  • use the Services for fraudulent or unlawful activity;
  • interfere with or attempt to circumvent Numisking's security systems;
  • use automated means to excessively access or scrape the Services without permission;
  • use the Services in any manner that could disable, overburden, damage, or impair them, or interfere with any other party's use of the Services;
  • introduce any virus, trojan horse, worm, logic bomb, or other material that is malicious or technologically harmful;
  • attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services, the servers on which they are stored, or any connected server, computer, or database;
  • submit content that is defamatory, obscene, abusive, harassing, hateful, or otherwise objectionable, or that infringes the intellectual property or privacy rights of another person; or
  • reverse engineer or attempt to extract Numisking's proprietary models, algorithms, or systems except where such restrictions are prohibited by law.

11. SUBSCRIPTIONS, GRADING CREDITS, AND PAYMENTS

a. Subscription Plans

Certain features, including AI grading, require a paid auto-renewable subscription. Numisking currently offers the following auto-renewable subscriptions:

  • Numisking Individual Plan — length of subscription: 1 month. Price: $9.99 per month. Provides a minimum of 10 AI grading credits per month.
  • Numisking Pro Plan — length of subscription: 1 month. Price: $19.99 per month. Provides a minimum of 30 AI grading credits per month.

The credit amounts stated above are a guaranteed monthly minimum. They are not a fixed number of credits added to your balance each month, and they are not a cap. Subsection (e) below describes exactly how credits are applied at each renewal.

Prices are stated in U.S. dollars and apply to the United States storefront. Prices in other currencies and storefronts are shown at the point of purchase and may differ. The price applicable to your purchase is always displayed within the app or on the website before you confirm the transaction.

b. Automatic Renewal

Subscriptions renew automatically at the end of each one-month period unless auto-renew is turned off at least 24 hours before the end of the then-current period. Your account will be charged for renewal within 24 hours prior to the end of the current period, at the price of the plan you selected.

Your subscription continues until you cancel it. Cancelling stops future renewals; it does not terminate the period you have already paid for, and you retain access to paid features until the end of that period.

c. Purchases Made Through the Apple App Store

If you purchase a subscription or grading credits through the Numisking iOS application, the transaction is processed by Apple and the following additional terms apply:

  • Payment is charged to your Apple Account at confirmation of purchase.
  • Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Your Apple Account is charged for renewal within 24 hours prior to the end of the current period, at the price of the selected plan.
  • You can manage your subscription, view its renewal date, change plans, or turn off auto-renewal at any time in your Apple Account settings after purchase. Numisking cannot cancel an Apple subscription on your behalf.
  • Deleting the application does not cancel your subscription. You must cancel through your Apple Account settings.
  • No cancellation of the current subscription period is permitted during an active subscription period.
  • Refund requests for App Store purchases are handled by Apple in accordance with Apple's then-current refund policies, not by Numisking.
  • Where a free or discounted introductory offer is made available, any unused portion of a free trial period is forfeited when you purchase a subscription to that plan.
  • Your use of the Services remains subject to these Terms and to our Privacy Policy.

Apple is not a party to these Terms and is not responsible for the Services. Apple's own terms, including the Apple Media Services Terms and Conditions, also apply to purchases made through the App Store.

d. Purchases Made on the Website

Subscriptions purchased directly on numisking.com are processed by our third-party payment processor and are managed through your account settings on the website. A subscription purchased on the website cannot be managed or cancelled through the Apple App Store, and a subscription purchased through the App Store cannot be managed or cancelled on the website.

e. AI Grading Credits and the Monthly Top-Up

AI grading is performed using grading credits. One credit is consumed for each AI grading request.

Credits carry over and do not expire, and a subscription renewal never reduces your credit balance.

At each monthly renewal, your credit balance is set to the greater of: (i) your existing credit balance at the time of renewal; or (ii) your plan's monthly credit amount. Your plan's monthly amount is therefore a guaranteed minimum for that month, rather than a fixed quantity of credits added on top of what you already hold. For example:

  • If you hold 5 credits and your Individual Plan (minimum 10) renews, your balance becomes 10 — you are topped up to the monthly minimum.
  • If you hold 15 credits and your Individual Plan (minimum 10) renews, your balance remains 15 — you keep the larger balance.
  • If you hold 15 credits and your Pro Plan (minimum 30) renews, your balance becomes 30 — you are topped up to the monthly minimum.

Because a renewal tops your balance up to the monthly minimum rather than adding to it, unused subscription credits do not accumulate from month to month beyond that minimum. You will always have at least your plan's monthly credit amount available following a renewal, and you will never have less than you had before the renewal.

When you first subscribe, as distinct from renewing, your plan's credits are added to any credits you already hold. Starting a subscription therefore never reduces or forfeits an existing balance, including unused free credits.

Additional grading credits may be purchased individually at $1.00 each, in quantities selected at the time of purchase. Individually purchased credits are a one-time purchase and are not a subscription. Credits purchased in this way are added to your balance and are retained in the same manner described above.

Credits are consumed when used and are not restored if a grading result is not to your satisfaction. If a purchase is refunded, the corresponding number of credits is deducted from your balance, to a minimum of zero.

f. Refunds

Unless otherwise required by law or expressly stated by Numisking, payments for completed subscription periods and for consumed Services, including consumed grading credits, are non-refundable. Refunds for purchases made through the Apple App Store are governed by Apple's refund policies and must be requested from Apple.

g. Price Changes

Numisking may change subscription pricing. Where required, you will be notified in advance and, for auto-renewable subscriptions purchased through the App Store, Apple will seek your consent to the new price before it takes effect in accordance with Apple's procedures. If you do not agree to a price change, you may cancel before the change takes effect.

12. MARKETPLACE

Numisking may, if and when such functionality is made available, offer features allowing users to buy and sell coins or other numismatic items. The following sections apply to those features if and when Numisking makes them available to you.

Unless Numisking expressly identifies itself as the seller of a particular item, Numisking is not the buyer or seller of items listed by users.

The purchase agreement for a marketplace item is between the buyer and seller.

Numisking may provide software, payment processing, communications tools, listing tools, shipping functionality, buyer or seller protections, dispute-resolution procedures, or other services facilitating a transaction. Providing those services does not make Numisking the owner, seller, consignor, dealer, or guarantor of an item unless expressly stated otherwise.

13. SELLER RESPONSIBILITIES

Marketplace sellers are responsible for ensuring that their listings are truthful, accurate, complete, and not misleading.

A seller must have the legal right to sell any item listed.

Sellers may not knowingly list:

  • counterfeit items;
  • stolen property;
  • materially altered coins without appropriate disclosure;
  • fraudulent reproductions;
  • items described using intentionally false grades;
  • items using photographs that materially misrepresent the item being sold; or
  • items whose sale is prohibited by applicable law.

Sellers remain responsible for the description, condition, authenticity, ownership, legality, shipment, and delivery of their items.

14. BUYER RESPONSIBILITIES

Buyers are responsible for reviewing listings, photographs, seller information, return policies, and any available authentication or grading information before completing a purchase.

A Numisking AI grade appearing alongside a marketplace listing does not constitute a guarantee regarding the coin being sold.

Buyers should perform whatever additional diligence they consider appropriate before purchasing high-value coins.

15. MARKETPLACE DISPUTES

Unless Numisking expressly offers a specific buyer or seller protection program, disputes regarding a marketplace item are primarily between the buyer and seller.

Numisking may, but is not obligated to, assist with communications, payment disputes, returns, refunds, suspected fraud, authenticity disputes, or other marketplace issues.

Any buyer protection, seller protection, return, refund, authentication, or dispute-resolution program offered by Numisking may be subject to additional rules.

16. NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

NUMISKING MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

WITHOUT LIMITING THE FOREGOING, NUMISKING DOES NOT WARRANT OR GUARANTEE:

  • THE ACCURACY OF ANY COIN GRADE;
  • THE AUTHENTICITY OF ANY COIN;
  • THE ACCURACY OF ANY ATTRIBUTION OR VARIETY;
  • THE VALUE OF ANY COIN;
  • THE ACCURACY OF MARKET DATA;
  • THE CONDITION OF ANY MARKETPLACE ITEM;
  • THAT A BUYER WILL RECEIVE AN ITEM;
  • THAT A SELLER WILL RECEIVE PAYMENT; OR
  • THAT AN AI RESULT WILL MATCH A HUMAN OR THIRD-PARTY GRADING SERVICE.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUMISKING AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS IN VALUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR DAMAGES ARISING FROM A PURCHASE OR SALE OF A COIN.

THIS INCLUDES LOSSES RESULTING FROM RELIANCE UPON:

  • A COIN GRADE;
  • AN AUTHENTICITY ASSESSMENT;
  • A VALUATION;
  • AN ATTRIBUTION;
  • A VARIETY IDENTIFICATION;
  • AN AI-GENERATED RESULT;
  • MARKET INFORMATION; OR
  • INFORMATION CONTAINED IN A MARKETPLACE LISTING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMISKING'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID NUMISKING DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.

Some jurisdictions do not permit certain limitations of liability, so some portions of this limitation may not apply to you.

18. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Numisking and its owners, officers, employees, affiliates, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from:

  • your violation of these Terms;
  • your misuse of the Services;
  • content or listings you submit;
  • your sale or purchase of an item;
  • your infringement of another person's rights; or
  • fraudulent or unlawful conduct associated with your account.

19. THIRD-PARTY SERVICES

The Services may contain information or functionality supplied by third parties, including payment processors, shipping companies, price guides, auction databases, grading companies, cloud-service providers, and other technology providers.

Numisking is not responsible for third-party services, content, availability, policies, or actions.

20. INTELLECTUAL PROPERTY

Except for user content and third-party materials, the Numisking Services, software, designs, models, algorithms, databases, interfaces, text, graphics, trademarks, and other materials are owned by Numisking or its licensors and are protected by applicable intellectual-property laws.

These Terms do not grant you ownership of Numisking's software, artificial-intelligence systems, or intellectual property.

21. COPYRIGHT INFRINGEMENT (DMCA)

Numisking takes claims of copyright infringement seriously and will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any material accessible on or from the Services infringes your copyright, you may request removal of that material by submitting written notification to our designated copyright agent. In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"), the written notice (the "DMCA Notice") must include substantially the following:

  • Your physical or electronic signature;
  • Identification of the copyrighted work you believe to have been infringed or, if the claim involves multiple works, a representative list of such works;
  • Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material;
  • Adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address);
  • A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law;
  • A statement that the information in the written notice is accurate; and
  • A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective. If you knowingly materially misrepresent that material or activity is infringing your copyright, you may be held liable for damages (including costs and attorneys' fees) under Section 512(f) of the DMCA.

If you believe that material you posted was removed or access to it was disabled by mistake or misidentification, you may file a counter-notification (a "Counter-Notice") with our copyright agent designated above. The Counter-Notice must include substantially the following:

  • Your physical or electronic signature;
  • An identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access disabled;
  • Adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address);
  • A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification; and
  • A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if you reside outside the United States, any judicial district in which the Services may be found) and that you will accept service from the person who provided the original DMCA Notice.

IT IS NUMISKING'S POLICY TO TERMINATE THE USER ACCOUNTS OF REPEAT INFRINGERS.

22. SUSPENSION AND TERMINATION

Numisking may suspend, restrict, or terminate access to the Services where reasonably necessary to protect Numisking, its users, third parties, or the integrity of the Services.

Reasons may include fraud, abuse, chargebacks, security threats, unlawful conduct, marketplace misconduct, violation of these Terms, or attempted manipulation of Numisking's systems.

23. CHANGES TO THE SERVICES OR TERMS

Numisking may update these Terms from time to time.

If a change is material, Numisking may provide notice through the Services, by email, or by another reasonable method.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

24. GOVERNING LAW

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

25. DISPUTE RESOLUTION

You agree to (1) the exclusive jurisdiction and venue for any dispute arising from or relating to these Terms or the Services of the state and/or federal courts located in, or serving, Charlotte, North Carolina; (2) not challenge such jurisdiction or venue; and (3) accept service by certified or registered mail.

Nothing in this section limits any right you may have to bring a claim in a small claims court of competent jurisdiction, or any non-waivable right available to you under the consumer protection laws of your place of residence.

26. SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

27. ENTIRE AGREEMENT

These Terms, together with any incorporated policies, marketplace rules, subscription terms, Privacy Policy, and other applicable supplemental terms, constitute the agreement between you and Numisking concerning the Services.
